V I ZION UNLIMITED
TERMS & CONDITIONS
Last updated: October 2026
Welcome to V I ZION UNLIMITED.
These Terms & Conditions set out the general terms governing your use of the V I ZION UNLIMITED website and the process through which you may enquire about, apply for, and enter into a commercial relationship with V I ZION UNLIMITED.
V I ZION UNLIMITED exists to help Christians bring the visions God has given them into reality.
We work alongside selected founders to develop, build and establish businesses through genuine commercial collaboration.
Our approach is:
BUILD → ESTABLISH → RELEASE → REPEAT.
We meet people where they are, help build what God has placed in them, establish it into something sustainable, and ultimately release them to continue building.
1. ABOUT V I ZION UNLIMITED
V I ZION UNLIMITED is operated by Immanuel Ezra Isaiah Chayah as a sole trader in England and Wales.
For the purposes of these Terms & Conditions, “V I ZION,” “we,” “us” and “our” refer to V I ZION UNLIMITED and its operator.
“You,” “your” and “Founder” refer to the individual making an enquiry or application to V I ZION or, where applicable, the founder participating in a V I ZION commercial arrangement.
Where a company or other business entity enters into an agreement with V I ZION, that entity will be referred to as the “Business.”
2. WHAT V I ZION DOES
V I ZION UNLIMITED operates through 12-month commercial business-building arrangements with selected founders.
Our work is not designed around selling hours of coaching, consultancy or advice.
Instead, where a commercial arrangement is agreed, V I ZION works alongside the Founder and Business to help develop, build and establish the vision.
Depending on the individual arrangement, V I ZION may contribute:
• business strategy;
• business development;
• structure and systems;
• positioning and marketing;
• operational development;
• resources;
• relationships and introductions;
• commercial opportunities;
• problem solving;
• implementation and execution;
• business knowledge;
• strategic direction; and
• other agreed contributions.
The exact scope of V I ZION’s contribution will depend upon the individual Business and will be established in the applicable written agreement.
3. OUR CHRISTIAN FOUNDATION
V I ZION UNLIMITED is a Christian company and exists specifically to serve Christians who believe God has given them a vision.
Our philosophy is rooted in the example and teaching of Jesus Christ, including His words:
“I came not to be served, but to serve.”
We therefore seek to operate through service, integrity, honesty, stewardship, excellence and genuine care for the people and businesses we work alongside.
Our Christian foundation is part of the identity and purpose of V I ZION UNLIMITED.
However, participation in a V I ZION commercial arrangement does not constitute a promise or guarantee of a particular spiritual, financial or business outcome.
4. WHO V I ZION WORKS WITH
V I ZION does not automatically accept every person or Business that makes an enquiry.
We select opportunities based on whether we believe there is genuine alignment between:
• the Founder;
• the vision;
• the Business;
• the opportunity;
• the current stage of development;
• the Founder’s commitment;
• the potential for meaningful development; and
• V I ZION’s ability to contribute meaningful value.
We reserve the right to decline an opportunity where we do not believe the relationship is suitable for either party.
A consultation, application or discussion does not create an obligation for V I ZION to enter into a commercial arrangement.
5. INITIAL CONSULTATIONS
Initial consultations allow V I ZION and the Founder to understand the vision, the Business, the current position and the potential opportunity for collaboration.
A consultation does not itself create a binding commercial relationship.
No Founder should treat statements made during an initial consultation as a guarantee of revenue, profit, funding, customers, investment, business growth or any other particular outcome.
Any commercial arrangement will be established through a separate written agreement.
6. THE 12-MONTH COMMERCIAL ARRANGEMENT
V I ZION’s standard commercial model operates over an initial period of 12 months.
The applicable written agreement will establish:
• the commencement date;
• the completion date;
• the parties involved;
• each party’s responsibilities;
• V I ZION’s contribution;
• the Founder’s contribution;
• financial arrangements;
• profit-sharing arrangements where applicable;
• financial reporting requirements;
• decision-making arrangements;
• intellectual property arrangements;
• confidentiality obligations;
• termination provisions; and
• any other terms specific to the Business.
The individual written agreement will govern the specific commercial relationship between the parties.
Where there is an inconsistency between these website Terms & Conditions and a signed commercial agreement, the signed commercial agreement will take precedence in relation to that specific arrangement.
7. V I ZION’S COMMITMENT
V I ZION will use reasonable skill and care in carrying out the activities agreed with the Founder.
We will seek to contribute meaningful strategy, resources, relationships, knowledge and execution to the development of the Business.
The exact nature and extent of our contribution will depend upon the Business and the terms agreed between the parties.
V I ZION does not guarantee that every strategy, introduction, opportunity or activity will produce a particular result.
Where an outcome depends upon a third party, V I ZION cannot guarantee that the third party will participate, invest, purchase, provide funding, enter into an agreement or otherwise proceed.
8. THE FOUNDER’S COMMITMENT
The Founder is an active participant in the development of the Business.
The Founder agrees to:
• provide accurate and complete information;
• communicate honestly and transparently;
• participate in agreed meetings and activities;
• complete agreed actions;
• provide information reasonably required to perform the arrangement;
• maintain appropriate business and financial records;
• operate the Business lawfully;
• disclose material information affecting the Business or commercial arrangement;
• make decisions reasonably required from the Founder;
• act in good faith; and
• work collaboratively with V I ZION.
V I ZION cannot effectively develop a Business without meaningful participation and cooperation from the Founder.
9. BUSINESS OWNERSHIP
Unless expressly agreed otherwise in writing, the Founder and/or existing Business will retain ownership of the Business.
Entering into a V I ZION commercial arrangement does not automatically transfer ownership of:
• shares;
• company assets;
• intellectual property;
• trademarks;
• business names;
• websites;
• customer databases;
• contracts; or
• other Business property
to V I ZION.
Any transfer of ownership, equity arrangement, shareholding, directorship or other ownership interest must be expressly agreed in writing.
10. COMMERCIAL AND PROFIT-SHARING ARRANGEMENT
Where the parties agree that V I ZION will participate in the Business through a profit-sharing arrangement, the applicable written agreement will establish the commercial terms.
V I ZION’s standard model is intended to operate as follows:
20% of Distributable Profit is retained within the Business as a Business Growth / Working Capital Reserve.
The remaining 80% of Distributable Profit is divided:
• 40% to the Founder/Business;
• 40% to V I ZION;
• 20% retained within the Business.
Therefore, based on the total amount defined as Distributable Profit:
Founder/Business — 40%
V I ZION — 40%
Business Growth Reserve — 20%
The applicable written agreement will define Distributable Profit and will specify which Business expenses, reserves, liabilities and other deductions may be taken into account before profit is distributed.
Profit will ordinarily be reviewed and distributed every three months, subject to the terms of the applicable written agreement, the availability of distributable funds and accurate financial records.
V I ZION does not guarantee that the Business will generate profit.
11. FINANCIAL TRANSPARENCY
Where V I ZION participates in a profit-sharing arrangement, the Founder and Business must maintain accurate and transparent financial records.
V I ZION may require reasonable access to information necessary to calculate and verify Distributable Profit.
This may include:
• Business bank statements;
• revenue records;
• invoices;
• expense records;
• bookkeeping records;
• management accounts;
• tax records where reasonably relevant; and
• other financial information reasonably required under the applicable agreement.
Financial information received by V I ZION will be treated as confidential subject to the terms of the applicable agreement and applicable law.
12. BUSINESS EXPENDITURE
Business expenditure must be genuine, reasonable and connected to the operation or development of the Business.
The applicable commercial agreement may specify which expenditure can be deducted when calculating Distributable Profit.
Neither party should deliberately incur unnecessary expenditure, remove funds from the Business or structure transactions primarily for the purpose of reducing Distributable Profit.
Where the applicable agreement requires approval for significant expenditure, that approval must be obtained before the expenditure is incurred.
13. NO GUARANTEE OF BUSINESS SUCCESS
V I ZION’s role is to contribute to the development and establishment of the Business.
However, V I ZION does not guarantee:
• a specific level of revenue;
• a specific level of profit;
• investment;
• funding;
• customers;
• sales;
• business growth;
• media exposure;
• financial independence;
• replacement of employment income; or
• any other specific commercial outcome.
Business outcomes depend upon numerous factors, including market conditions, execution, customer behaviour, economic circumstances, the Founder and matters outside V I ZION’s reasonable control.
14. DECISION-MAKING AND AUTHORITY
The parties will work collaboratively throughout the commercial relationship.
The Founder remains responsible for the lawful operation of their Business unless specific authority has been expressly granted to V I ZION in writing.
V I ZION may provide strategic direction, recommendations, resources, introductions and practical support.
V I ZION does not have authority to enter into contracts, incur liabilities, borrow money, employ people, dispose of Business assets or otherwise legally bind the Founder or Business unless that authority has been expressly granted in writing.
Likewise, the Founder does not have authority to create obligations on behalf of V I ZION unless expressly authorised.
15. RELATIONSHIP BETWEEN THE PARTIES
The parties intend to establish a genuine commercial relationship in which V I ZION and the Founder work together toward the development and establishment of the Business.
The legal character of each arrangement will depend upon the written agreement and the actual relationship and conduct of the parties.
Nothing in these website Terms & Conditions, by itself, creates an employment relationship, agency relationship, shareholding, directorship or other legal relationship beyond that established by the applicable written agreement and applicable law.
Where the parties’ arrangement constitutes a legal partnership or other specific legal relationship under applicable law, the rights and obligations arising from that relationship will apply notwithstanding the terminology used by the parties.
16. CONFIDENTIALITY
Each party may receive confidential or commercially sensitive information during the relationship.
Each party agrees to take reasonable steps to protect confidential information belonging to the other.
Confidential information may include:
• business plans;
• financial information;
• strategies;
• customer information;
• intellectual property;
• supplier information;
• marketing plans;
• personal information;
• commercial opportunities; and
• other information reasonably understood to be confidential.
Confidential information must not be disclosed to third parties except where:
• the other party has authorised the disclosure;
• disclosure is required by law;
• disclosure is reasonably necessary to perform the agreement; or
• the information is already lawfully in the public domain.
17. INTELLECTUAL PROPERTY
Each party retains ownership of intellectual property owned before entering into the commercial relationship.
Any intellectual property created during the relationship will be dealt with in accordance with the applicable written agreement.
Neither party may use, reproduce, sell, transfer or commercially exploit intellectual property belonging to the other without the necessary permission or contractual right.
18. THIRD-PARTY INTRODUCTIONS
V I ZION may introduce the Founder or Business to potential:
• customers;
• suppliers;
• professionals;
• investors;
• partners;
• collaborators; or
• other commercial opportunities.
An introduction does not constitute a guarantee, endorsement or representation that the third party will enter into a commercial relationship.
The Founder and Business remain responsible for conducting appropriate due diligence before entering into any third-party relationship.
19. PROFESSIONAL ADVICE
V I ZION does not provide regulated legal, tax, accounting, financial or other professional advice unless such advice is expressly provided by an appropriately qualified professional.
The Founder and Business remain responsible for obtaining independent professional advice where appropriate.
20. LIABILITY
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation would be unlawful.
Subject to applicable law, V I ZION will not be liable for losses that are indirect, consequential or outside the reasonable contemplation of the parties when the relevant agreement was entered into.
Any limitation or exclusion of liability contained in a specific commercial agreement will apply only to the extent permitted by law.
Where a limitation of liability is included in an agreement, it is intended to operate only to the extent that the relevant limitation is fair and reasonable in the circumstances.
21. TERMINATION
The standard commercial relationship is intended to operate for 12 months.
The applicable written agreement will specify the circumstances in which either party may terminate the relationship before the end of the 12-month period.
These may include:
• mutual agreement;
• material breach;
• failure to remedy a material breach following reasonable notice;
• fraud or deliberate dishonesty;
• serious misconduct;
• insolvency;
• cessation of the Business;
• unlawful conduct; or
• another termination event expressly stated in the applicable agreement.
Termination does not automatically remove financial obligations or rights that arose before termination.
The applicable agreement will determine how outstanding profit, expenses, assets, intellectual property and other matters are dealt with following termination.
22. COMPLETION OF THE 12-MONTH PERIOD
The purpose of the V I ZION model is not to create permanent dependency.
Our objective is to help establish the Business to a point where the Founder is positioned to continue developing and operating through the vision God has given them.
At the end of the 12-month period, the parties may:
• conclude the relationship;
• agree to continue under new terms;
• enter into another commercial arrangement; or
• explore another form of collaboration.
Continuation is not automatic.
23. DATA PROTECTION
V I ZION may collect and process personal information in connection with website enquiries, consultations, applications and commercial relationships.
Personal information will be handled in accordance with applicable data protection law and V I ZION’s Privacy Notice.
24. COOKIES
The V I ZION website may use cookies and similar technologies.
Where required by applicable law, appropriate information and consent mechanisms will be provided.
Further information is available in our Cookie Policy.
25. WEBSITE CONTENT
Information published on the V I ZION website is provided for general information.
We make reasonable efforts to ensure that information published on the website is accurate and current, but we do not guarantee that all information will always be complete, accurate or up to date.
We may update, amend or remove website content at any time.
26. WEBSITE AVAILABILITY
We aim to keep the website available and functioning properly but cannot guarantee uninterrupted or error-free access.
We may temporarily suspend or restrict access for maintenance, security, technical or operational reasons.
27. CHANGES TO THESE TERMS
We may update these Terms & Conditions from time to time.
The latest version will be published on the V I ZION UNLIMITED website with the relevant update date.
Any change to these website Terms & Conditions will not automatically amend an existing signed commercial agreement.
Changes to an existing commercial agreement must be made in accordance with the variation provisions contained within that agreement.
28. GOVERNING LAW
These Terms & Conditions are governed by the laws of England and Wales.
Subject to any mandatory legal rights and any dispute-resolution provisions contained within a specific commercial agreement, the courts of England and Wales will have jurisdiction over disputes arising from these Terms & Conditions.
29. ENTIRE AGREEMENT
These Terms & Conditions establish the general framework governing the V I ZION UNLIMITED website and its commercial model.
The specific rights and obligations of V I ZION, the Founder and the Business will be established in the applicable signed commercial agreement.
Where there is a conflict between these Terms & Conditions and a signed commercial agreement, the signed commercial agreement will take precedence in relation to the specific commercial relationship.
